Gelonghui May 13 丨 Huiliang Technology (01860flushpokerhand.HK) Announcementflushpokerhand, regarding the acquisition of the entire equity interest of Beijing Thermal Cloud Technology, the two parties entered into a settlement agreement on May 10, 2024, pursuant to which Party B agreed to pay, among others, a settlement sum of approximately US$23.51 million to Party A to fully and finally resolve the arbitration award and related enforcement procedures. Both parties understand that the transactions contemplated under the relevant acquisition agreement may involve data security, national security and public interests, and will fully respect the security review decision of the National Development and Reform Commission on acquisitions. Based on the above, both parties agree that after Party B fulfills its payment obligations under the settlement agreement, the rights and obligations of both parties under the relevant acquisition agreement will be terminated and terminated.
